For “ONGOING” WORK & “ONE OFF” PROJECTS
King Kleen (CEO & its management) and “King Kleen Partners or Partners” referring to all team members in our organisation in Canada, USA and WORLDWIDE. Including and not limited to ALL management, Partner & Customer Support Representatives (PCSR’s), Cleaning Partner Supervisor’s (CPS’s), and Cleaning Partner’s (CP’s) mutually wish to enter into an agreement on the terms and conditions set out herein.
*The Majority of this STANDARD agreement is directed toward our Cleaning Partners, therefore when agreeing to the terms and conditions in this agreement you are agreeing to the terms and conditions that are APPLICABLE TO YOUR SPECIFIC ROLE and responsibilities in your PARTNERSHIP with King Kleen.
KING KLEEN AGREES to thoroughly TRAIN, EQUIP, SUPPORT and ADD ONGOING VALUE to our partners in their specific role & responsibilities with King Kleen to the best of our abilities.
KING KLEEN PARTNER AGREES to honour King Kleen’s MISSION and VALUES and standard requirements in working with the King Kleen BRAND and provide A CONSISTENT STANDARD OF EXCELLENCE in their role with King Kleen.
For Cleaning Partners this refers to delivering CONSISTENT EXCELLENT cleaning services to customers & their locations, in accordance with the role & responsibilities and specifications set out in the details/descriptions in HouseCall Pro (customer requests) .
KING KLEEN HOLDS THE RIGHT TO REMOVE ANY CLEANING PARTNER IMMEDIATELY IF KING KLEEN MANAGEMENT HAS DOCUMENTED REASON TO BELIEVE THAT THERE IS A CONCERN THAT WE OR THE CUSTOMER HAVE THAT MAY JEOPARDISE THE RELATIONSHIP WITH THE CUSTOMER. THIS WOULD NOT APPLY IF THE CLEANING PARTNER SERVICED THE CUSTOMER BEFORE THEIR PARTNERSHIP WITH KING KLEEN AND BROUGHT THEIR CUSTOMER ONTO THE KING KLEEN PLATFORM.
*Cleaning Partner is responsible to have at least 1 King Kleen certified and approved Cleaning Partner who is fully trained in each customer location to cover as backup in case of sickness, injury or holiday time. (PCSR can help assist with this).
The Parties agree to comply with all relevant Legislation, Regulations and/or Codes of Practice (IN YOUR COUNTRY, Canada, USA & Worldwide), including but not limited to the Employment Standards Act, 2000, Workplace Safety & Insurance Act, Human Rights Code of Ontario and the Occupational Health & Safety Act. (Kingston Ontario, Canada. King Kleen Corporation, Head Office)
The Partner must immediately contact King Kleen Support (your PCSR) in the event of any onsite incident or accident by email. IF IT IS A MEDICAL EMERGENCY CONTACT 911(or your countries emergency line).
The Cleaning Partner will be fully responsible for the replacement cost of any and all keys and fobs in the event of these items being lost/stolen/misplaced if they are in the Cleaning Partners care.
The Cleaning Partner agrees to use their own equipment and chemicals at customer’s locations.
If there is an item that is agreed to be King Kleen HEAD OFFICE
responsibility, then all expense REQUESTS are to be emailed for approval to your PCSR prior to being PURCHASED.
HOURS/PAY
King Kleen is not guaranteeing a specific amount of hours/customers that Cleaning Partners will receive. Cleaning Partners pay is determined prior to the first service date and may vary depending on location/requirements, unless an agreement has been established in writing between the Partner and King Kleen Management (for example a 70/30 split).
1- “PAY PER CUSTOMER”
For Cleaning Partners that receive “PAY PER CUSTOMER”(PPC) on ON-GOING customers, OR ARE RECEIVING AN AGREED PERCENTAGE PAY OUT OF A CUSTOMER INVOICE, King Kleen sets that up in HCP (on your CUSTOMER profile NOTES) and pay Cleaning Partners “PPC” or “percentage” weekly or monthly (in some cases we agree to pay monthly). CP NEEDS TO LET YOUR PCSR KNOW IF ANOTHER Cleaning Partner COVERED A “PPC” FOR YOU TO AVOID DOUBLE PAYOUT.
2. USING “PUNCH CLOCK”
*Cleaning Partners ALWAYS uses “Punch Clock” to track time, and for accurate tracking for Cleaning Partners PAY. Clocking in and clocking out needs to follow the order it is listed in YOUR schedule for each customer that day.
(CLICK- OMW, START, FINISH at the correct times AND NOT all together at the same time)
3- “ERROR ON YOUR “PUNCH CLOCK”
* Send EMAIL to YOUR PCSR with the “correct Customer Name and HRS – King Kleen corrects it DAILY in our system. *Also if a job takes longer then scheduled in HCP and the extra time is approved by the customer IN ADVANCE then these DETAILS are to be emailed as well to correct the invoice and PAY Cleaning Partner the correct amount. Corrections must be submitted between the end of Cleaning Partners work week and Sunday at 11:59 PM.
Cleaning Partners help keep the daily HCP calendar accurate. If a JOB has been verbally communicated and is not accurate in the CALENDAR, Cleaning Partners contact PCSR immediately to update the calendar.
UNIFORMS
The Partner agrees to wear King Kleen uniforms when interacting with customers or on customer premises. The cost per item is as follows: T-shirt $25.00, golf shirt $45.00, full back hat & toque $30.00, hoodie $50.00 plus taxes & shipping. (These costs may be adjusted at any time)
OWNERSHIP OF RECORDS
It is understood and agreed that King Kleen is the sole owner of all books and records associated with King Kleen’s business, (THIS WOULD NOT APPLY IF THE CLEANING PARTNER SERVICED THE CUSTOMER BEFORE THEIR PARTNERSHIP WITH KING KLEEN) including customer lists and that in the event of termination of a Partner Agreement, for any reason whatsoever, the use, control, and ownership of all records including customer lists and contact information, price lists and related information, whether produced by the Partner, King Kleen, or by any other person, shall remain the property of King Kleen. The Partner recognizes and acknowledges that King Kleen’s list of customers and pricing information is a valuable, special, and unique asset of King Kleen. The Partner will not, during or after the term of agreement, however agreement ends, disclose the list of King Kleen’s customers and the customers’ personal or business information, or any part thereof, or any other books and records associated with King Kleen’s business, directly or indirectly, to any person, firm, corporation, association, or other entity for any reason or purpose whatsoever.
RETURN OF DOCUMENTS
The Partner agrees that all documents of any nature pertaining to activities of King Kleen including, without limitation, confidential client information, records and books, in the Partner’s possession now or at any time during the term of this Agreement, are and shall be the property of King Kleen and that all such documents and all copies of them shall be surrendered to King Kleen whenever requested by King Kleen and immediately upon termination of this Agreement with King Kleen, regardless of the reason for ending this agreement.
KING KLEEN’S PROPERTY
The Partner also acknowledges that any equipment, passwords, and security codes provided to the Partner by King Kleen shall be considered and remain the exclusive property of King Kleen at all times and shall be surrendered to it, in good condition, promptly at its request or immediately upon the ending of this Agreement with King Kleen.
NON-DISCLOSURE
It is agreed that King Kleen will provide the Partner, in the course of the performance of services, with access to confidential customer information and other confidential information. The Partner shall not (either during the performance of the service or at any time thereafter) disclose any information relating to the private or confidential affairs of King Kleen or relating to any trade secrets of King Kleen to any person other than for King Kleen’s purposes and, without limiting the generality of the foregoing, the Partner shall not (either during the continuance of the Agreement or at any time thereafter) disclose any confidential information including client lists and contact information, pricing strategies and business information to any person other than for King Kleen’s purposes and shall not (either during the performance of the service or at any time thereafter) use for the Partner’s own purposes or for any purposes other than those of King Kleen any such information he/she may acquire in relation to the business engaged in by King Kleen and its associated or affiliated corporations, except as required by law.
NON-SOLICITATION
The Partner shall not, for a period of twelve (12) months immediately following the termination of this agreement for any reason and with or without cause, either directly or indirectly:
Make known to any person, firm, corporation, partnership or other entity, the names or addresses of any customers and clients of King Kleen or any other information pertaining to them;
Call on, solicit, or take away, or attempt to call on, solicit or take away, any of the customers of King Kleen either for the Partner or any other person, firm, corporation, partnership or other entity;
Make known to any person, firm, corporation, partnership or other entity, the contents of any mailing customer list prepared or used by King Kleen during or prior to the term of this Agreement; or
Call on, solicit or cause Partners or employees of King Kleen to leave their agreement with King Kleen for any reason.
CRIMINAL BACKGROUND CHECK
This agreement is conditional on the Partner agreeing to a criminal background check of its principals and employees who provide services at King Kleen customer locations, and upon a satisfactory result of such checks. It is normally the practice of King Kleen to obtain the result of such a background check prior to the date services are commenced. In the event that this is not possible, and that we obtain the results after the commencement of services, King Kleen may have no choice but to end this agreement if the results of the criminal background check are not satisfactory. In such a case, you will not be entitled to any notice or pay in lieu of notice, nor will you have any other entitlements, except payment for service rendered up to the date the agreement ends.
INSURANCE (IF APPLICABLE)
Cleaning Partners who have their own registered company will, during the term of this Agreement, and at its own expense, maintain and keep in full force and effect: (i) errors and omissions/professional liability insurance on an occurrence; and (ii)
commercial general liability insurance on an occurrence basis having a minimum inclusive coverage limit, including bodily injury, personal injury, and property damage which will be extended to cover Agreements liability, products and completed operations liability, data liability, and owner/King Kleen’s protective liability. The amount of the general liability insurance required shall be a minimum of five million dollars ($5,000,000.00) for any one occurrence. The Cleaning Partner shall give the King Kleen at least thirty (30) days’ prior written notice of material change to, cancellation, or non-renewal of the Insurance policy required under this Article 10. At any time upon request by the King Kleen, the Cleaning Partner will deliver evidence of the insurance coverage required under this Article 14.
GOVERNMENT SAFETY REQUIREMENTS
The Cleaning Partner will, during the term of this Agreement, and at its own expense, maintain and keep in full force the safety requirements set by the jurisdiction in which cleaning services are being performed (Canada, USA & Worldwide). For Ontario, workplace safety and insurance coverage with the Workplace Safety and Insurance Board (WSIB), or the required safety under the Workplace Safety and Insurance Act, as amended. At any time upon request by King Kleen, the Cleaning Partner will deliver evidence of the insurance coverage required under this Article 15.
EXPECTATIONS
*Cleaning Partners are paid in a manner with the intent to have each CLEANING PARTNER PROVIDE THEMSELVES the below required items*
WORK ATTIRE – When intentionally interacting with King Kleen prospects, customers or on cleaning sites ALL partners wear King Kleen logoed uniform shirts. See price guide for logoed attire.
CELL PHONE – to upload and use King Kleen’s cleaning APP, and to communicate with PCSR & CUSTOMERS.
TRANSPORTATION – to and from customers’ locations.
PERSONAL PROTECTIVE EQUIPMENT (PPE) – to ensure personal and customer safety.
EQUIPMENT & CHEMICALS – Vacuum, mop kit, Health Canada (or your country’s) approved disinfectant, etc. (King Kleen has a RECOMMENDED “Success Cleaning Kit” of tried-and-tested EQUIPMENT & CHEMICALS.) This kit can be purchased from King Kleen directly or 3rd party suppliers. Cleaning Partners have the ability to use their own Cleaning kit as long as all items are widely known as safe, effective, and portray excellence.
Role & Responsibilities:
TRAINING
Successfully complete initial KLEEN START training/certification and ongoing safety and cleaning training, at requested times.
Properly train other King Kleen Cleaning Partners who are assisting or receiving a customer location.
Abide by all King Kleen policies and procedures to ensure safety and the fulfilment of King Kleen’s Mission.
Attend and interact in Partner requested meetings.
Arrive at customer locations with ALL equipment & chemicals needed to SAFELY & thoroughly clean, and disinfect.
Complete the work with excellence, efficient time management; within the allotted time and the job’s budget.
Achieve customer satisfaction and approval with the completed work.
CUSTOMER SERVICE EXCELLENCE
Strive to maintain a 5-Star Review Rating from your customers through the King Kleen platform.
Stay connected. Perform customer visits, emails, and phone calls at appropriate times.
Be proactive in addressing customer cleaning needs and resolve promptly.
Completion of your customers’ projects daily at scheduled times.
Ensure your schedule is covered when time off is needed, and inform King Kleen PCSR of the schedule change request at least 1 week in advance.
Maintain and properly care for personal Cleaning Kit (vacuum, tools, etc.)
Be prepared to assist King Kleen Partners when a need arises, to the best of your abilities.
ENDING AGREEMENT
One month written notice, or payment of one months’ service fees in lieu of notice is required by either party should the party decide to end this Agreement. No such notice is required if either party has breached this Agreement. King Kleen shall not, in any event, be liable for loss of anticipated profits of the Partner. If a Partner has a concern with King Kleen Management, address immediately and professionally to the appropriate manager with the intent to correct the concern, if concern is not corrected, then proceed to the next level of management until concern is properly resolved.
By signing below, I acknowledge that I have read and understand this agreement.
I acknowledge that I have had sufficient time to review and consider this Agreement thoroughly; I have read and understand the terms of this Agreement and
our Partnership requirements in it; and I have been given the opportunity to obtain independent legal advice, or such other advice as I may desire, concerning the interpretation and effect of this Agreement, and have either obtained such independent advice or declined to do so, freely and voluntarily. By accepting jobs with King Kleen, I acknowledge that I am 100% responsible for all of the service & safety responsibilities where I am servicing.

I acknowledge that all required certifications and legal safety certifications in my country & jurisdiction are up-to-date. With acceptance of this agreement, I hold King Kleen Corporation/ Kingkleenusa Harmless for any of my personal decisions or actions in any interactions with other Partners or Customers or Customers serviced locations.
